1. Overview
Quibit, Inc. ("the Company", "we", "us", "our") offers investment features through the Quibit platform that allow eligible users to participate in equity crowdfunding, business investments, and creator investments (collectively, "Investment Services"). These Investment Terms & Conditions ("Investment Terms") govern your use of all Investment Services.
By accessing, browsing, or using any Investment Service on the Quibit platform, you acknowledge that you have read, understood, and agree to be bound by these Investment Terms, in addition to our general Terms of Service, Privacy Policy, and Wallet Terms.
Investment Services are designed to connect investors with vetted business opportunities, creator projects, and equity offerings within the Quibit ecosystem. All investments carry risk, and past performance is not indicative of future results.
Investing involves risk, including the potential loss of your entire investment. Investment Services on Quibit are not bank deposits and are not insured by any government agency. Please read these terms carefully, especially the Risk Disclosures section, before making any investment.
1.1 Scope of Investment Services
These Investment Terms apply to the following activities and features on the Quibit platform:
Viewing and browsing investment opportunities listed on the platform
Committing funds to equity crowdfunding campaigns
Investing in business ventures listed by verified businesses on Quibit
Supporting creator projects with investment-based funding models
Receiving returns, dividends, or distributions from investments
Managing your investment portfolio within the Quibit app
Participating in investor communications and voting
1.2 Relationship to Other Policies
These Investment Terms supplement and are subject to our other policies. In the event of a conflict between these Investment Terms and our general Terms of Service, these Investment Terms shall prevail with respect to Investment Services:
Terms of Service â general platform usage rules apply to all investment activities
Privacy Policy â governs collection and use of your financial and investment data
Wallet Terms â governs wallet balances, payment processing, and fund transfers related to investments
Data Security Policy â covers protection of your sensitive financial information
2. Eligibility Requirements
Not all users are eligible to participate in Investment Services. You must meet all of the following requirements before making any investment through the Quibit platform:
You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher) to use any Investment Service. No exceptions are made for minors, even with parental consent.
2.1 Basic Eligibility Criteria
You must be at least 18 years old or the age of majority in your jurisdiction
You must have a verified Quibit account in good standing
You must have the legal capacity to enter into binding financial agreements
You must not be subject to any sanctions, embargoes, or restrictions under applicable law
You must not be a resident of a jurisdiction where Investment Services are prohibited
You must not have been previously banned from Quibit Investment Services
2.2 KYC (Know Your Customer) Verification
Before making your first investment, you must complete our KYC verification process. This is a legal requirement and helps us prevent fraud, money laundering, and other financial crimes:
- Government-issued photo ID (passport, national ID, or driver's license)
- Selfie verification matching your photo ID
- Proof of address (utility bill, bank statement, or government correspondence dated within 3 months)
- Source of funds declaration
- Annual income disclosure (for investment limit determination)
- Net worth disclosure (for accredited investor status, where applicable)
- Bank account or payment method verification
- KYC information must be kept current â update within 30 days of any changes
- We may request re-verification periodically or when suspicious activity is detected
- Failure to complete or maintain KYC verification will result in suspension of Investment Services
2.3 Jurisdiction Restrictions
Investment Services may not be available in all jurisdictions. We comply with local securities regulations and may restrict access based on your location:
Users must comply with their local laws regarding investing and securities
Certain investment products may be restricted in specific countries or regions
Cross-border investment may be subject to additional regulatory requirements
We reserve the right to restrict or suspend Investment Services in any jurisdiction without prior notice if required by law
It is your responsibility to determine whether participation in Investment Services is legal in your jurisdiction
3. Investment Products
The Quibit platform offers several types of investment products. Each product type has different characteristics, risk profiles, and return structures. You should carefully review the specific terms of each investment before committing funds.
3.1 Equity Crowdfunding
Equity crowdfunding allows multiple investors to collectively fund a business in exchange for equity shares. Key characteristics:
- Businesses list equity offerings with defined funding targets and timelines
- Investors commit funds during the campaign period
- If the funding target is met, shares are issued proportionally to investors
- If the target is not met, committed funds are returned to investors (all-or-nothing model)
- Minimum investment amounts are set per campaign (typically starting from $50 / ~65,000 KRW)
- Maximum investment limits apply based on your investor classification and jurisdiction
- Equity shares may be subject to lock-up periods restricting sale or transfer
- Share dilution may occur in subsequent funding rounds
- Dividends are not guaranteed and depend on business performance
3.2 Business Investments
Direct business investments allow investors to fund established businesses listed on Quibit in exchange for revenue sharing, profit participation, or convertible instruments:
- Investors receive a percentage of business revenue for a defined period
- Return rates and periods are specified in each investment listing
- Revenue share payments are typically made monthly or quarterly
- Investors share in the profits of a specific business or project
- Profit calculations are based on audited financial statements where available
- Participation terms including duration and percentage are defined per offering
- Debt instruments that may convert to equity at a future date or event
- Interest rates, maturity dates, and conversion terms are specified per offering
- Conversion typically occurs at a discount to the next equity round valuation
3.3 Creator Investments
Creator investments allow users to invest in content creators and influencers within the Quibit ecosystem:
Invest in a creator's growth and receive a share of their platform earnings
Creator investment terms are defined individually per creator offering
Returns are tied to creator performance metrics (engagement, revenue, growth)
Creator investments carry high risk due to the unpredictable nature of creator economies
Creators may buy back investor shares at fair market value after specified holding periods
Minimum and maximum investment limits apply per creator
4. Risk Disclosures
INVESTING THROUGH THE QUIBIT PLATFORM INVOLVES SIGNIFICANT RISK. YOU SHOULD ONLY INVEST MONEY THAT YOU CAN AFFORD TO LOSE ENTIRELY. THE FOLLOWING RISK DISCLOSURES ARE NOT EXHAUSTIVE â ADDITIONAL RISKS MAY EXIST THAT ARE NOT DESCRIBED HERE.
YOU MAY LOSE YOUR ENTIRE INVESTMENT. Investments made through Quibit are speculative and involve a high degree of risk. There is no guarantee of returns, and you could lose all of the money you invest. Do NOT invest funds that you cannot afford to lose. Do NOT invest your emergency savings, retirement funds, or money needed for essential living expenses.
4.1 General Investment Risks
- You may lose some or all of your invested capital
- There is no guarantee of any return on your investment
- Historical returns of similar investments are not indicative of future performance
- Quibit, Inc. does not guarantee or insure any investment against loss
- Investments may be illiquid â you may not be able to sell or transfer your investment when you want to
- There is no public market for most investments offered on the platform
- Lock-up periods may prevent you from accessing your invested funds
- It may take months or years before you can realize any returns
- Economic downturns, recessions, or market volatility can negatively affect your investments
- Currency exchange rate fluctuations may affect the value of cross-border investments
- Interest rate changes, inflation, and macroeconomic factors can impact returns
- Political instability or regulatory changes in relevant jurisdictions may affect investments
Quibit, Inc. does NOT guarantee any returns on investments. Any projected returns, estimated yields, or financial forecasts presented on the platform are forward-looking statements and should not be relied upon as promises or guarantees of future performance.
4.2 Business-Specific Risks
Businesses you invest in may fail, resulting in total loss of your investment
Startups and early-stage businesses have a high failure rate
Business management decisions are outside your control as an investor
Financial statements and projections provided by businesses may be inaccurate or incomplete
Businesses may face regulatory, legal, or operational challenges that reduce or eliminate returns
Share dilution in subsequent funding rounds may reduce the value of your holdings
Key personnel departures may significantly impact business performance
4.3 Platform-Specific Risks
Quibit, Inc. conducts due diligence but does not guarantee the accuracy of investment listings
Technical issues, outages, or platform discontinuation may affect access to your investments
Quibit, Inc. is an intermediary â we are not a guarantor of investment outcomes
Changes to the platform's business model or services may affect Investment Services
Cybersecurity breaches, though we take extensive precautions, may affect your account or data
4.4 Creator Investment Risks
Creator popularity and earnings can decline rapidly and without warning
Platform algorithm changes may significantly reduce a creator's reach and revenue
Creator reputational events (scandals, controversies) may destroy investment value
Creators may reduce activity, take extended breaks, or quit entirely
The creator economy is evolving rapidly and is subject to significant market uncertainty
Creator investments are considered HIGH RISK. Creator income is inherently unpredictable, and factors such as changing audience preferences, platform algorithm changes, creator burnout, reputational events, and market saturation can dramatically affect returns. Only invest amounts you are fully prepared to lose.
5. Investment Process
The following describes the process for making investments through the Quibit platform. Please review each step carefully before committing any funds.
5.1 How to Invest
Follow these steps to make an investment on the Quibit platform:
Complete KYC verification and ensure your account is in good standing
Browse available investment opportunities in the Investment section of the app
Review the investment listing details, including business information, financial projections, risk factors, and terms
Select the investment amount (must meet minimum investment requirement)
Review the investment summary and all applicable terms and disclosures
Confirm your investment by accepting these Investment Terms and the specific offering terms
Fund your investment via supported payment methods
Receive a confirmation receipt and investment certificate (digital)
5.2 Minimum and Maximum Investment Amounts

Maximum investment limits may be lower based on your jurisdiction, income level, net worth, and investor classification. Non-accredited investors are subject to annual aggregate investment limits as required by applicable securities regulations.
5.3 Payment Methods
Quibit Wallet balance (primary method â see Wallet Terms)
Bank transfer (domestic Korean bank transfer via supported banks)
International wire transfer (subject to additional processing time and fees)
Credit/debit card payments (subject to card issuer restrictions on investment transactions)
All payments are processed in Korean Won (KRW) unless otherwise specified. Currency conversion fees may apply for international investors.
5.4 Confirmation and Settlement
You will receive an email and in-app confirmation upon successful investment
For crowdfunding campaigns, settlement occurs only when the funding target is reached
Funds are held in escrow during campaign periods (see Platform Responsibilities)
Investment certificates are issued digitally within 5 business days of settlement
Your investment portfolio is updated in real-time within the Quibit app
6. Returns & Distributions
Returns on investments made through the Quibit platform are not guaranteed. The following describes how returns and distributions work for each investment type when returns are realized.
Returns described in this section are potential outcomes, NOT guarantees. Actual returns may be significantly lower than projected, and you may receive no returns at all. You may lose your entire investment.
6.1 How Returns Work
- Returns are realized through dividends (if declared by the business) or exit events (acquisition, IPO, or buyback)
- Dividends are paid at the discretion of the business â they are never guaranteed
- Exit events may take years to materialize, if they occur at all
- Share value may increase or decrease over time
- Returns are paid as a percentage of business revenue at agreed intervals
- If the business generates low or no revenue, distributions will be correspondingly low or zero
- Revenue share agreements have defined end dates after which no further distributions are made
- Returns are tied to creator platform earnings and performance metrics
- Distributions are calculated based on the creator's verified earnings within the Quibit ecosystem
- Creator earnings can fluctuate significantly from period to period
6.2 Payout Schedule

6.3 Distribution Method
All distributions are credited to your Quibit Wallet by default
You may request bank transfer withdrawal from your Wallet (see Wallet Terms for withdrawal fees and processing times)
Distributions are net of applicable platform fees (see fee schedule in your investment agreement)
Tax withholding may be applied as required by law before distribution
7. Investor Rights
As an investor on the Quibit platform, you are entitled to certain rights. These rights are designed to protect your interests and ensure transparency:
7.1 Voting Rights
Equity investors may receive voting rights as specified in the offering terms
Voting rights, when granted, allow participation in major business decisions (e.g., board elections, mergers, significant asset sales)
Voting is conducted electronically through the Quibit platform
Revenue share and creator investors typically do not receive voting rights unless specified in their agreement
One share equals one vote unless the offering terms specify a different structure
7.2 Information Access Rights
Right to receive quarterly financial updates from businesses you have invested in
Right to access annual financial statements (audited, where applicable)
Right to receive material event notifications (changes in management, major contracts, legal proceedings)
Right to review investor communications and updates within the Quibit app
Right to request additional information from the business through the platform's investor relations feature
7.3 Withdrawal and Cancellation Rights
- You have a 48-hour cooling-off period after committing to an investment during which you may cancel without penalty
- To cancel, use the 'Cancel Investment' option in your portfolio within 48 hours of commitment
- After the cooling-off period, investments are generally non-refundable except as specified below
- If a crowdfunding campaign does not reach its funding target, your committed funds are returned in full
- If a campaign is cancelled by the business or by Quibit, Inc., your funds are returned in full
- Returned funds are credited to your Quibit Wallet within 5 business days
- If the offering terms materially change after your investment, you have the right to withdraw within 5 business days of notification
- Material changes include significant changes to business terms, management, use of funds, or risk profile
7.4 Secondary Market and Transfers
Transfer of investment positions to other users may be available for certain investment types, subject to platform approval
Secondary transfers are subject to applicable securities transfer restrictions
Lock-up periods must be honored before any transfer is permitted
Quibit, Inc. may charge a transfer fee for secondary market transactions
Not all investment types support secondary transfers â check your specific offering terms
8. Platform Responsibilities
Quibit, Inc. takes its role as an investment platform seriously. The following outlines our responsibilities and commitments to investors and the integrity of the Investment Services:
8.1 Due Diligence
Quibit, Inc. performs reasonable due diligence on investment listings before they are published on the platform:
Identity verification of business owners and key personnel
Review of business registration and legal standing
Verification of financial information and projections where feasible
Background checks on key management personnel
Review of business plans and use of proceeds
Assessment of offering terms for fairness and compliance
Our due diligence is not a guarantee of business viability, accuracy of financial projections, or investment outcomes. We perform commercially reasonable checks, but we cannot verify all claims made by businesses. You should conduct your own independent research before investing.
8.2 Escrow Services
All investment funds during crowdfunding campaigns are held in a segregated escrow account
Escrow funds are held with a licensed financial institution
Funds are released to the business only upon successful campaign completion and verification
If a campaign fails, escrowed funds are returned to investors automatically
Quibit, Inc. does not commingle escrow funds with its operating capital
8.3 Disclosure Obligations
We require businesses to provide accurate and complete information in their investment listings
Material changes to an offering must be disclosed to investors promptly
We provide standardized risk disclosures for each investment type
Platform fees and charges are disclosed transparently before investment confirmation
We publish regular transparency reports on platform investment performance (aggregate, anonymized)
8.4 Regulatory Compliance
We maintain appropriate licenses and registrations required to operate Investment Services
We comply with anti-money laundering (AML) and counter-terrorism financing (CTF) regulations
We cooperate with regulatory authorities and law enforcement as required by law
We implement investor protection measures consistent with applicable securities regulations
We maintain adequate capital reserves and insurance as required by applicable law
9. Tax Obligations
Investment returns may be subject to taxation. It is your sole responsibility to understand and comply with all applicable tax laws in your jurisdiction. Quibit, Inc. does not provide tax advice.
You are solely responsible for determining and paying all taxes owed on investment returns, capital gains, and distributions received through the Quibit platform. We strongly recommend consulting a qualified tax professional.
9.1 Investor Tax Responsibility
You are responsible for reporting all investment income to the relevant tax authorities
Investment returns, dividends, and capital gains may be taxable in your jurisdiction
Tax treatment varies by jurisdiction, investment type, and your personal tax situation
Quibit, Inc. does not withhold taxes on your behalf unless required by law
We do not provide tax advice â consult a qualified tax professional for your specific circumstances
9.2 Republic of Korea (South Korea) Tax Reporting
For investors who are tax residents of the Republic of Korea:
Investment income may be subject to Korean income tax and local surtax
Dividend income is subject to withholding tax at applicable rates
Capital gains on certain investment types may be subject to capital gains tax
We may be required to report your investment income to the National Tax Service (NTS)
We will provide annual investment income statements to assist with your tax filing
Relevant tax forms will be available for download in the Quibit app by March 10 each year
9.3 International Tax Considerations
Cross-border investments may be subject to taxation in multiple jurisdictions
Double taxation treaties may apply â consult your tax advisor
Currency conversion gains or losses may also be taxable events
We comply with international tax information exchange agreements (e.g., CRS, FATCA) as required
Non-Korean tax residents may be subject to withholding tax on Korean-sourced investment income
10. Dispute Resolution
Disputes related to Investment Services may involve complex financial matters. The following process is designed to resolve disputes efficiently and fairly:
10.1 Investor Complaints Process
If you have a complaint regarding Investment Services, follow this process:
Step 1: Contact our Investor Relations team at [email protected] with a detailed description of your complaint
Step 2: We will acknowledge your complaint within 2 business days
Step 3: We will investigate and provide a formal response within 15 business days
Step 4: If you are unsatisfied with our response, you may escalate to mediation
10.2 Mediation
Disputes not resolved through the complaints process may be submitted to mediation
Mediation will be conducted by a mutually agreed-upon neutral mediator
Each party bears its own costs of mediation unless agreed otherwise
Mediation is non-binding unless both parties agree to a settlement
Mediation must be attempted before proceeding to arbitration
10.3 Binding Arbitration
If mediation does not resolve the dispute, it shall be submitted to binding arbitration:
Arbitration will be conducted under the rules of the Korean Commercial Arbitration Board (KCAB) for Korea-based investors, or the International Chamber of Commerce (ICC) for international investors
The arbitration shall take place in Seoul, Republic of Korea, unless an alternative venue is mutually agreed
The arbitrator's decision is final and binding, subject to limited grounds for appeal under applicable law
The prevailing party may be entitled to recover reasonable legal fees and arbitration costs
You may opt out of binding arbitration within 30 days of first accepting these Investment Terms by emailing [email protected] with subject line 'Investment Arbitration Opt-Out'.
10.4 Governing Law
These Investment Terms and any disputes arising from Investment Services are governed by the laws of the Republic of Korea, without regard to its conflict of law provisions. Korean courts shall have non-exclusive jurisdiction for matters not subject to arbitration.
11. Regulatory Compliance
Quibit Investment Services are designed to comply with applicable securities and financial regulations. The following outlines the regulatory framework governing our Investment Services:
11.1 Securities Regulations
Investment offerings on Quibit are structured in compliance with applicable securities exemptions
We operate under applicable crowdfunding and private offering exemptions where available
Offerings are limited in size and investor participation as required by applicable securities law
Investment listings constitute neither a public offering nor a solicitation in jurisdictions where such activities are not permitted
11.2 Korea Financial Services Compliance
For investment activities in or targeting the Republic of Korea:
We comply with the Financial Investment Services and Capital Markets Act (FSCMA)
We adhere to regulations issued by the Financial Services Commission (FSC) and Financial Supervisory Service (FSS)
Crowdfunding offerings comply with the Crowdfunding Act (Act on Online Investment-Linked Financial Services and Protection of Users)
We maintain required registrations and reporting obligations with Korean financial regulators
Investor protection measures comply with Korean investor protection standards
11.3 Cross-Border Compliance
We comply with applicable international sanctions and export control regulations
Cross-border investment flows comply with foreign exchange regulations in relevant jurisdictions
We comply with anti-money laundering (AML) regulations including FATF recommendations
We adhere to the Common Reporting Standard (CRS) for automatic exchange of tax information
We comply with the U.S. Foreign Account Tax Compliance Act (FATCA) where applicable
Investment marketing and solicitation comply with local regulations in each jurisdiction where we operate
11.4 Anti-Money Laundering and Counter-Terrorism Financing
All investors are screened against global sanctions lists and politically exposed person (PEP) databases
Suspicious transactions are reported to the relevant Financial Intelligence Unit (FIU)
We maintain transaction monitoring systems to detect unusual investment patterns
We reserve the right to freeze accounts and withhold distributions if suspicious activity is detected
False or misleading information provided during KYC may result in account termination and legal action
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE FOLLOWING LIMITATIONS APPLY TO ALL INVESTMENT SERVICES PROVIDED THROUGH THE QUIBIT PLATFORM:
Quibit, Inc. is a technology platform that facilitates investment transactions. We are NOT a financial advisor, broker-dealer, or investment manager. We do not provide investment advice, and the availability of investment listings on our platform does not constitute a recommendation to invest.
12.1 Liability Exclusions
QUIBIT, INC. SHALL NOT BE LIABLE FOR:
Any loss of investment capital, whether partial or total
Any failure of a business or creator to generate expected returns
Any inaccuracy in financial projections or business information provided by third parties
Any decline in value of equity shares or investment instruments
Any delay or failure in distribution payments caused by the investee business
Any tax consequences arising from your investment activities
Any regulatory changes that affect the legality or viability of your investments
Any indirect, incidental, consequential, special, or punitive damages arising from investment activities
12.2 Maximum Liability
To the maximum extent permitted by law, Quibit, Inc.'s total aggregate liability to you for all claims arising from or related to Investment Services shall not exceed the lesser of (a) the total platform fees you have paid to Quibit, Inc. for Investment Services in the 12 months preceding the claim, or (b) $1,000 USD.
