1. Acceptance of Terms

By accessing or using QuiTalk, an AI-powered chat application operated by Quibit, Inc. ("the Company", "we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use QuiTalk.

QuiTalk is part of the Quibit, Inc. family of applications, which also includes Quibit, Kha, and QuizCoin. These Terms apply specifically to your use of QuiTalk. By creating an account or using any QuiTalk feature — including AI chat, channels, phone calling, or offline messaging — you acknowledge that you have read, understood, and agree to be bound by these Terms.

These Terms include mandatory arbitration and class action waiver provisions that affect your legal rights. They apply specifically to QuiTalk. If you also use other Quibit, Inc. apps (Quibit, Kha, QuizCoin), those apps have their own terms. Please read carefully.

1.1 About QuiTalk

QuiTalk is an AI-powered chat application designed for intelligent communication, international connectivity, and offline-first messaging. Core features include:

Qui AI — a personal AI chat assistant for conversation, recommendations, and information

AI-enhanced channels with Channel Brain technology for intelligent community discussions

AI business agent chat for seamless customer-business interactions

Offline-first messaging — full functionality without internet, automatic sync when reconnected

International phone calling to Myanmar via VoIP with prepaid wallet

Groups, channels, and town chats for community building

Rich user profiles with AI-powered personalization

Personal assistant features powered by Qui AI

1.2 Eligibility

You must meet the following requirements to use QuiTalk:

You must be at least 13 years old to create a QuiTalk account

If you are under 18, you must have parental or legal guardian consent to use QuiTalk

AI features may have additional age restrictions depending on your jurisdiction

You must have the legal capacity to enter into these Terms

You must not be barred from using QuiTalk under applicable law

You must not have been previously banned or removed from any Quibit, Inc. service

For users under 18, see our Child Safety Policy for additional protections and parental controls. Parents or guardians are responsible for monitoring minors' use of AI features.

1.3 Account Creation and Security

To use QuiTalk, you must create a Quibit, Inc. account. A single account may be used across all Quibit, Inc. applications. When creating an account:

Provide accurate, current, and complete information

Maintain and update your information to keep it accurate

Keep your password secure and confidential

Enable two-factor authentication (strongly recommended)

Notify us immediately of any unauthorized account use

You are responsible for all activities under your account

Do not share your account credentials with anyone

Do not create multiple accounts to evade enforcement actions

2. User Conduct and Prohibited Activities

You agree to use QuiTalk in compliance with applicable laws and these Terms. QuiTalk is a communication platform — the following rules ensure a safe, respectful experience for all users.

2.1 Prohibited Content

  • Content that violates local, state, national, or international law
  • Content that infringes intellectual property rights
  • Child Sexual Abuse Material (CSAM) — zero tolerance, immediate permanent ban and law enforcement report
  • Content promoting terrorism or violent extremism
  • Drug trafficking, weapons sales, or illegal services
Harmful Content
  • Hate speech, harassment, or bullying in chats, groups, or channels
  • Threats of violence or incitement to violence
  • Content promoting self-harm or suicide
  • Non-consensual intimate imagery (revenge porn)
  • Misinformation that could cause imminent harm
  • Doxxing or sharing private information without consent
Fraudulent Content
  • Scams, phishing, or fraudulent schemes via chat or channels
  • Impersonation of others or misrepresentation of identity
  • Fake business listings or fraudulent offers in business channels
  • Pyramid schemes or multi-level marketing disguised as business opportunities
  • Using AI-generated content to deceive or manipulate others

2.2 Chat and Messaging Conduct

As a chat-first application, QuiTalk requires users to maintain respectful communication standards:

Do not send unsolicited spam messages to other users

Do not use automated tools or bots to send messages without authorization

Do not harass, stalk, or repeatedly contact someone who has asked you to stop

Do not share another user's private messages without their consent

Do not use group chats or town chats to spread misinformation or panic

Respect the mute, block, and report features — they exist for user safety

2.3 AI Feature Conduct

When using Qui AI and other AI features, the following additional rules apply:

Do not attempt to manipulate AI to produce harmful, illegal, or inappropriate content

Do not use AI features to generate spam, misinformation, or deceptive content

Do not use AI-generated content to impersonate real people

Do not attempt to extract system prompts, training data, or internal AI configurations

Do not use AI features to harass or target other users

Do not use AI business agent features to deceive or scam customers

Do not share AI-generated content as verified facts without independent confirmation

2.4 Channel Owner Responsibilities

If you create and manage a channel on QuiTalk, you accept additional responsibilities:

Maintain appropriate content standards in your channel at all times

Configure your Channel Brain (FAQ, tone, topics) accurately and responsibly

Do not use Channel Brain to produce misleading, harmful, or illegal responses

Monitor and moderate user-generated content within your channel

Respond to reports of violations within your channel promptly

Business channel owners must keep product/service information accurate and up to date

You are accountable for content published through your channel's AI brain

2.5 Phone Calling Conduct

When using QuiTalk's international phone calling feature:

Do not use calls for harassment, threats, or intimidation

Do not use calls for illegal purposes (fraud, scams, extortion)

Do not use calls for unauthorized commercial telemarketing

Respect local telecommunications regulations in both your country and Myanmar

Abuse of calling features will result in calling privileges being revoked and possible account suspension

3. AI Features and Services

QuiTalk provides AI-powered features at the core of its experience, including Qui AI (personal chat assistant), AI-enhanced channels (Channel Brain), and AI business agent chat. By using these features, you agree to the following terms:

AI features are provided for informational and entertainment purposes only. AI responses should NOT be relied upon as professional medical, legal, financial, immigration, or other expert advice. Always consult qualified professionals for important decisions.

3.1 Nature of AI Services

Our AI features are powered by third-party AI models and proprietary technology. You understand and agree that:

AI responses may contain inaccuracies, errors, or outdated information

AI does not have access to real-time information unless specifically provided

AI cannot verify facts, make medical diagnoses, provide legal counsel, or give financial advice

AI responses do not represent the views or opinions of Quibit, Inc.

AI is a tool to assist you — not a substitute for human judgment

AI conversations may be reviewed for safety and quality improvement purposes

AI capabilities may change, improve, or be limited over time as we update the service

3.2 AI Data Usage

When you use AI features, we collect and process conversation data as follows:

AI conversations are stored to provide conversation history and context

Conversation data may be used to improve AI response quality and safety

Your personal data is not used to train third-party AI models

AI conversation data is subject to our Privacy Policy and Data Security Policy

You may delete your AI conversation history at any time in Settings

Channel AI brain content is moderated for safety and appropriateness

3.3 AI Profile & Recommendation System

To enhance your experience, your profile information is automatically shared with Qui AI to provide personalized recommendations, profile matching, and contextual suggestions. By using QuiTalk, you agree that:

Your profile data (name, bio, interests, activity history, and preferences) is processed by Qui AI to generate personalized recommendations

AI-powered matching uses your profile to suggest relevant users, channels, content, and business services

Profile sharing with Qui AI is automatic and integral to the service — disabling it would significantly limit core features

Qui AI may analyze your interaction patterns to improve recommendation accuracy over time

Your profile data used for AI recommendations is not shared with other users beyond what you have made publicly visible

You can manage your recommendation preferences in Settings > Privacy > AI Recommendations

AI-generated recommendations are suggestions only — they do not guarantee compatibility, quality, or suitability

Qui AI processes profile data solely to enhance your experience. Your data is not sold to third parties or used to train external AI models.

3.4 AI-Enhanced Channels (Channel Brain)

QuiTalk allows users to create channels enhanced with AI capabilities called Channel Brain. Channel Brain enables intelligent, context-aware AI responses within a channel based on the owner's configured knowledge, tone, and topics. Channel owners and users agree:

Channel owners are responsible for their channel's AI brain content (FAQ, tone, topics)

AI responses within channels reflect the channel's configured personality and knowledge, not Quibit, Inc.'s views

Channel brain content is reviewed by our moderation team for safety

AI cannot provide professional advice through channels (medical, legal, financial)

Channel AI may be disabled by Quibit, Inc. if it violates our policies

Users interact with channel AI at their own discretion and risk

Channel Brain context is prioritized: owner brain > general summary > member summary

3.5 AI Business Agent Chat

Business channels on QuiTalk are integrated with Qui AI to provide an intelligent business agent experience. When businesses share products, items, jobs, or services within their channels, the AI acts as a virtual agent to assist customers:

How AI Business Agent Works
  • Businesses list their products, services, job postings, and offers within their QuiTalk channel
  • Qui AI automatically indexes and understands all business offerings shared in the channel
  • Users can ask Qui AI to summarize available products, compare items, check availability, or get detailed information
  • Qui AI responds based on the business's published information — acting as a virtual shop assistant or agent
  • Users can initiate transactions, inquiries, or bookings through the AI agent conversation
  • The AI agent facilitates the interaction until the business owner reviews and confirms the request
Business Owner Responsibilities
  • Business owners must keep their channel product/service information accurate and up to date
  • All pricing, availability, and descriptions shared in channels must be truthful
  • Business owners are responsible for reviewing and confirming AI-facilitated customer requests in a timely manner
  • AI-facilitated interactions do not create binding agreements until the business owner explicitly confirms
  • Businesses must not use the AI agent to deceive customers about product quality, availability, or pricing
Customer Understanding
  • AI agent responses are based on business-provided information and may not reflect real-time inventory or availability
  • Always wait for business owner confirmation before considering any transaction final
  • Quibit, Inc. is not a party to transactions between customers and businesses — we provide the AI communication platform only
  • Disputes between customers and businesses should be resolved directly between the parties
  • Customer data shared during AI business agent conversations is subject to our Privacy Policy

The AI Business Agent is a communication assistant — not a seller, merchant, or financial intermediary. Quibit, Inc. does not guarantee the quality, accuracy, or fulfillment of any business offerings presented through the AI agent.

3.6 AI Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUIBIT, INC. IS NOT LIABLE FOR ANY DAMAGES, LOSSES, OR HARM ARISING FROM YOUR RELIANCE ON AI-GENERATED CONTENT, INCLUDING BUT NOT LIMITED TO:

Inaccurate or misleading AI responses

Decisions made based on AI suggestions or information

Financial losses from following AI-generated advice

Health consequences from AI-provided health information

Legal consequences from AI-provided legal information

Immigration or visa decisions influenced by AI responses

Business losses from AI business agent interactions

Harm caused by sharing AI-generated content with third parties

4. International Phone Calling

QuiTalk provides international phone calling services, primarily for calling Myanmar numbers from abroad. This feature uses Voice over Internet Protocol (VoIP) technology and requires a prepaid wallet balance. By using this feature, you agree to the following terms:

4.1 Service Description

VoIP-based international calling to Myanmar numbers (mobile and landline)

Requires prepaid wallet balance — calls deduct from your wallet in real time

Current rate: ₩100 per minute (subject to change with 30 days notice)

Available from any country with an internet connection

Supports all major Myanmar carriers: MPT, Mytel, Ooredoo, Atom

Call duration is measured in one-minute increments

4.2 Calling Rules and Restrictions

Calls must not be used for harassment, threats, or intimidation

Calls must not be used for illegal purposes (fraud, scams, extortion)

Calls must not be used for commercial telemarketing without authorization

Calls are not recorded by Quibit, Inc. — we do not monitor call content

Call metadata (duration, timestamps, numbers dialed) is retained per our Privacy Policy

Abuse of calling features will result in calling privileges being revoked and account suspension

You are responsible for complying with telecommunications laws in both your country and the destination country

4.3 Service Quality Disclaimer

International calling quality depends on multiple factors beyond our control:

Your internet connection quality and speed

Recipient's mobile network quality in Myanmar

Network congestion during peak hours

Infrastructure availability in remote areas of Myanmar

Third-party VoIP provider performance

Temporary outages or maintenance on either end

5. Offline Features and Local Data

QuiTalk is built with an offline-first architecture, meaning the app is designed to work fully without an internet connection. Messages, conversations, and data are stored locally on your device and synchronized with our servers when connectivity is restored.

5.1 How Offline Mode Works

QuiTalk stores your data locally using an embedded database on your device. This enables the following:

Read and browse all previously loaded conversations, messages, and contacts without internet

Compose and queue messages while offline — they are sent automatically when you reconnect

Access your profile, settings, and cached channel content offline

AI features require an internet connection and are not available offline

Phone calling requires an internet connection and is not available offline

New messages from other users will be received and synced when you come back online

5.2 Local Data Storage

By using QuiTalk, you understand and agree to the following regarding local data storage:

QuiTalk stores conversation data, messages, and metadata in a local database on your device

Local data is not encrypted at the device level by QuiTalk — device-level encryption depends on your phone's security settings

Uninstalling the app will permanently delete all locally stored data

Clearing app data or cache may result in loss of unsynced messages

We are not responsible for data loss caused by device failure, app uninstallation, or cache clearing

You are responsible for maintaining device security (lock screen, biometrics) to protect locally stored data

5.3 Sync Behavior

When your device reconnects to the internet, QuiTalk performs background synchronization:

Queued outgoing messages are sent in the order they were composed

New incoming messages are downloaded and stored locally

Profile updates and settings changes are synced bidirectionally

Sync happens automatically in the background — no user action required

Large sync operations (after extended offline periods) may temporarily increase data usage

In rare cases, sync conflicts may occur — the most recent version takes priority

We recommend connecting to Wi-Fi periodically to ensure full synchronization. Extended offline periods may result in delayed message delivery to recipients.

6. Content and Intellectual Property

6.1 Your Content

You retain ownership of content you create and share on QuiTalk ("User Content"), including messages, media, channel posts, and profile information. By posting content, you grant Quibit, Inc. a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, distribute, and display your content in connection with operating and improving QuiTalk.

This license ends when you delete your content, except where content has been shared with others and they have not deleted it, or where we need to retain it for legal or safety purposes.

6.2 AI-Generated Content Ownership

Content generated by Qui AI and other AI features in QuiTalk is subject to the following:

AI-generated responses are provided as a service and are not owned by you or by Quibit, Inc.

You may use AI-generated content for personal, non-commercial purposes

You may not claim AI-generated content as exclusively your own original work

You are responsible for how you use and share AI-generated content

AI-generated content may be similar to content generated for other users

You must not use AI-generated content in ways that violate these Terms or applicable law

Channel Brain-generated content is governed by the same rules

6.3 QuiTalk Intellectual Property

All aspects of QuiTalk, including the app, website, logos, AI technology, Channel Brain, features, and functionality, are owned by Quibit, Inc. and protected by copyright, trademark, and other intellectual property laws. You may not:

Copy, modify, or create derivative works of QuiTalk

Use our trademarks (QuiTalk, Qui AI, Quibit) without written permission

Remove or alter copyright or trademark notices

Use automated systems to access or extract data from QuiTalk

Reverse engineer, decompile, or attempt to extract source code from QuiTalk

6.4 Copyright Infringement (DMCA)

We respect intellectual property rights. If you believe content on QuiTalk infringes your copyright, submit a DMCA notice to [email protected] with:

Your physical or electronic signature

Identification of the copyrighted work

Identification of the infringing material and its location on QuiTalk

Your contact information

A statement of good faith belief

A statement of accuracy under penalty of perjury

7. Privacy and Data

Your privacy is important to us. Our collection and use of personal information in QuiTalk is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7.1 How We Use Your Data

To provide, maintain, and improve QuiTalk's features and services

To personalize your experience, content recommendations, and AI responses

To facilitate AI conversations, Channel Brain, and improve AI response quality

To process international phone calls and wallet transactions

To enable offline-first functionality and data synchronization

To communicate with you about the service (updates, security alerts)

To detect, prevent, and address security issues and policy violations

To comply with legal obligations

7.2 Cross-App Data Sharing

QuiTalk is part of the Quibit, Inc. family of apps. Because all apps share a single account system, some data may be shared across apps:

Your account profile (name, photo, basic info) is shared across Quibit, Inc. apps

Authentication and security data is shared for account protection

Policy violations in QuiTalk may affect your access to other Quibit, Inc. apps, and vice versa

You can control app-specific privacy settings independently in each app

AI conversation data from QuiTalk is NOT shared with other Quibit, Inc. apps

8. Financial Terms

QuiTalk includes features that involve financial transactions, including a prepaid wallet for international phone calls and premium subscription plans.

8.1 Prepaid Wallet

QuiTalk provides a prepaid wallet for international phone calling and other paid features. Key terms:

The wallet is not a bank account and does not earn interest

Minimum top-up: ₩1,000 — Maximum balance: ₩1,000,000

Balance expires 6 months after your last completed call

Refunds are available before confirmation only; no refunds after confirmation except for verified billing errors

Wallet balance is non-transferable between accounts

All wallet transactions are final once confirmed

We reserve the right to freeze wallet funds if fraud is suspected

8.2 Premium Subscription

QuiTalk offers premium subscription plans that unlock enhanced features. By subscribing, you agree:

Premium features include: enhanced AI chat, AI job creation, AI blog creation, smart profile mentions, AI profile analytics, auto-reply, and agent mode

Subscription plans range from monthly to annual billing cycles

Payment is processed via bank transfer and activated after admin verification

Subscriptions do not auto-renew — you must manually renew before expiration

Premium features become unavailable when your subscription expires

Refund policies are described at the point of purchase

We reserve the right to change pricing with 30 days advance notice

Free trial periods, if offered, automatically convert to paid subscriptions unless cancelled

9. Enforcement and Account Termination

We enforce these Terms to keep QuiTalk safe and respectful for all users. Violations in QuiTalk may result in enforcement actions that affect your access to other Quibit, Inc. apps as well.

9.1 Responding to Violations

We may take the following actions when you violate these Terms:

9.2 Account Termination

We may terminate or suspend your QuiTalk access at any time, with or without cause, with or without notice. Upon termination:

Your right to use QuiTalk immediately ceases

Your locally stored data remains on your device until you uninstall the app

Server-side data (messages, profile, AI history) may be deleted after a retention period

Wallet balance may be forfeited if termination is due to Terms violation

Wallet balance refund requests for non-violation terminations will be evaluated on a case-by-case basis

Premium subscription benefits end immediately upon termination

9.3 Appeals

If your account is suspended or content is removed, you may appeal by contacting [email protected] within 30 days. Include:

Your QuiTalk account username

Description of the enforcement action taken

Explanation of why you believe the action was incorrect

Any supporting evidence or context

Appeals are reviewed within 48 hours. Some actions (CSAM, terrorism, illegal activity) cannot be appealed.

10. Disclaimers and Limitation of Liability

QUITALK IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.1 No Guarantee of Availability

We do not guarantee that QuiTalk will always be available, uninterrupted, secure, or error-free. We may modify, suspend, or discontinue any part of QuiTalk at any time. Offline features provide local access but do not guarantee data preservation or sync success.

10.2 Feature-Specific Disclaimers

AI Features
  • AI responses may be inaccurate, incomplete, or misleading — do not rely on them for important decisions
  • Qui AI is not a licensed professional and cannot replace medical, legal, financial, or immigration advice
  • Channel Brain content is configured by channel owners, not by Quibit, Inc.
  • AI business agent responses are based on business-provided information and may not be current
  • We are not responsible for AI-generated content, advice, or recommendations
Phone Calling
  • International call quality is not guaranteed and depends on network conditions beyond our control
  • Call connections to remote areas of Myanmar may be unreliable
  • Call rates may change with 30 days notice
  • We are not a telecommunications carrier — we provide VoIP services through third-party providers
Offline and Sync
  • We do not guarantee that offline-queued messages will be delivered successfully upon reconnection
  • Sync conflicts may result in data inconsistencies in rare cases
  • Local data may be lost due to device failure, app uninstallation, or OS updates
  • Extended offline periods may affect message delivery timing and ordering
Channels and Community
  • Channel content is user-generated and does not represent Quibit, Inc. views
  • We do not verify the accuracy of information shared in channels or town chats
  • Business channel offerings are not verified or endorsed by Quibit, Inc.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUIBIT, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM:

Your use of or inability to use QuiTalk

Any unauthorized access to or use of our servers or your data

Any AI-generated content, suggestions, recommendations, or Channel Brain responses

International phone call quality, failures, dropped calls, or billing disputes

Offline data loss, sync failures, or message delivery issues

Any conduct of third parties on QuiTalk (including other users, channel owners, or businesses)

Business transactions facilitated through AI business agent chat

Loss of locally stored data due to device issues or app uninstallation

Our total liability shall not exceed the greater of (a) $100 or (b) the amount you paid Quibit, Inc. for QuiTalk services in the last 12 months.

10.4 Indemnification

You agree to indemnify and hold harmless Quibit, Inc. and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

Your use of QuiTalk

Your violation of these Terms or any applicable law

Content you post, share, or transmit through QuiTalk

Your interaction with other users on or off the platform

Your use of AI-generated content in ways that cause harm to third parties

Your use of phone calling features in violation of telecommunications laws

Channel content you create or manage as a channel owner

11. Dispute Resolution and Arbitration

11.1 Informal Dispute Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting [email protected]. We will try to resolve it within 60 days.

11.2 Binding Arbitration

If informal resolution fails, any dispute arising from or relating to these Terms or QuiTalk will be resolved through binding arbitration rather than in court, except where prohibited by law. This means:

Disputes will be resolved by a neutral arbitrator, not a judge or jury

Arbitration proceedings are generally more limited than court proceedings

Arbitrator decisions are final and binding

Right to appeal is limited

11.3 Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS-WIDE ARBITRATION, OR ANY OTHER REPRESENTATIVE PROCEEDING.

12. General Provisions

12.1 Changes to Terms

12.2 Governing Law

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles.

12.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full effect.

12.4 Entire Agreement

These Terms, along with the Privacy Policy, Community Guidelines, Child Safety Policy, Content Policy, Moderation Policy, Data Security Policy, Safety & Security Policy, Wallet Terms, and all other policies referenced herein, constitute the entire agreement between you and Quibit, Inc. regarding your use of QuiTalk.

12.5 Relationship to Quibit, Inc. Platform Terms

QuiTalk is operated by Quibit, Inc. and is part of the Quibit family of applications. These QuiTalk-specific Terms supplement the Quibit, Inc. Platform Terms of Service. In the event of a conflict between these Terms and the Platform Terms, these QuiTalk-specific Terms take precedence for QuiTalk usage.

12.6 Assignment

You may not assign or transfer these Terms without our prior written consent. Quibit, Inc. may assign these Terms freely in connection with a merger, acquisition, or sale of assets.

12.7 Force Majeure

Quibit, Inc. is not liable for failure or delay in performance due to causes beyond our reasonable control, including natural disasters, war, terrorism, pandemics, internet outages, government actions, telecommunications infrastructure failures, or network disruptions in Myanmar or other countries.
